Webmaster Partner Agreement

This agreement governs the webmaster (marketing partner) programme run through secretdiscounter.net by Fanzoone OÜ (Estonia). It is separate from our Terms of Use, which cover your use of the service as a member, and from the referral programme for people without a site.

1. The Parties

1. Fanzoone OÜ, Tornimäe tn 5, Kesklinna linnaosa, Tallinn, Harju maakond, 10145, Estonia, registry code 16537736 — referred to here as the Advertiser, “we” or “us”.
2. You — referred to here as the Marketing Partner, “you” or the “webmaster”. Together, the “Parties”.
3. You may take part as an individual or as a business. If you act in the course of a trade or profession, consumer protection rules do not apply to this agreement.

2. What This Programme Is For

1. We want more people to know about and use SecretDiscounter. You are willing to promote the service to your audience — giving the brand reach and recognition — in exchange for a share of the revenue you generate.
2. Nothing in this agreement makes you our employee, agent or representative. You may not enter into obligations on our behalf.

3. What We Pay You

1. Your reward is 60% of the revenue we earn from the purchases of the users you bring — for the whole time those users keep shopping through SecretDiscounter, on the site and in the mobile app. There is no twelve-month cut-off and no cap.
2. What “our revenue” means. Partner stores pay us a commission on each confirmed purchase. We hand roughly half of that commission to the member as cashback — more if the member holds a loyalty status — and keep the rest. Your 60% is calculated on what we keep, not on the store's gross commission.
3. Because members with a loyalty status receive a larger share of the commission, our revenue on their orders is smaller, and so is your 60% of it. These members typically shop far more often, which is why we do not treat them differently.
4. We may change the rate during special campaigns. Any change is announced by email before it takes effect and never applies retroactively to commission already earned.

4. When the Agreement Starts

1. This agreement takes effect when you begin registering as a partner — that is, when you submit the partner application and we approve it.
2. To help you promote the service, we supply ready-made materials: banners in every size, ad copy, video pre-rolls, email templates, themed landing pages and anything else useful for running the programme. They live in your account under Affiliate programme.
3. Those materials remain our intellectual property. You may use them to promote SecretDiscounter and for nothing else, and you may not alter them in a way that changes their meaning.

5. Your Referral Link

1. Once your partner account exists, you receive a personal referral link to place on your own websites, blogs, social pages and similar, in line with this agreement.
2. The link is what lets us count exactly how many users you brought, what they bought, and what you earned.
3. We may ask you for information about your traffic sources and for access to your platform's statistics. You must supply it within 14 days. If you do not, we may stop serving our material on your site and take other steps to protect ourselves and the stores whose offers are shown there.

6. Your Obligations

1. You will give us the details the law requires on request, including your tax identification number.
2. You will keep your partner login and password confidential and will not hand them to anyone else.
3. You warrant that you do not infringe anyone's property, intellectual property, trade marks or copyright.
4. You will not send unsolicited email (“spam”) containing our material. To email our promotions you must have each recipient's consent, and you must be able to prove it if we ask.
5. You will not place our promotional material on sites that contain — or are otherwise connected with — racism, extremism, violence, pornography, file sharing or pirated content, or anything else unlawful or grossly offensive.
6. You will not try to obtain commission dishonestly — for example by registering as a shopper through your own partner link, or having others do it for you, on any of our campaigns.

7. Earnings and Payouts

1. Everything you earn is recorded in your account, under Affiliate programme, where you can see what is payable.
2. You accept that we track the transactions and calculate the rewards, and that we make the final decision on whether a transaction actually took place. Where a store reverses or refuses to pay a commission, no reward is due on it.
3. Payouts are processed on request, provided you have reached the minimum payout threshold in force on the day you ask. We pay to the account you give us when you request the withdrawal.
4. If you do not request a payout, the balance carries over. A balance untouched for three years may be closed and taken to our income — but only after we have written to you at your registered email address and given you at least 30 days to withdraw it.

8. Duration and Termination

1. This agreement runs for one year from the day you register as a partner and renews automatically for another year on the same terms, unless either Party gives written notice at least 30 days before the end of the term.
2. Renewal keeps the “for life” promise intact: for as long as the agreement is in force, you keep earning from every user you have ever brought — the one-year term is the contractual cycle, not a limit on your earnings.
3. Either Party may terminate at any time on three months' written notice.
4. If you do nothing to promote the service for a whole year, the agreement terminates automatically.
5. If the agreement ends other than for a breach on your side, we pay out any commission already confirmed. Commission on purchases confirmed after termination is not due.
6. We may change these terms, and will notify every Marketing Partner by email. If you do not accept a change, you may terminate under 8.3.

9. Limitation of Liability

1. We are not liable for indirect, special or incidental damage, or any other loss, arising in connection with this agreement.
2. Nothing here excludes liability that cannot be excluded by law.

10. Confidentiality

1. Both Parties will keep confidential the personal, operational and other business information they learn under this agreement, for an unlimited period, and will not store, share or use it except as needed for the purpose of the agreement.

11. Where You May Not Place Links

The following are strictly prohibited:

1. Brand bidding of any kind. You may not buy paid search on our brand name, on any variation or misspelling of it, and you may not buy paid search on the brand names of the stores on our platform. Paid search that competes with us or with the stores for their own traffic is not something we will pay for.
2. Bulk email containing referral links (“spam”).
3. Any promotion inside our own official social media groups, including unsolicited direct messages.
4. Promoting SecretDiscounter on the website of any store connected to our platform — in reviews, comments or anywhere else.
5. Promoting SecretDiscounter in the official social media groups of any store.
6. Using one store's promotional material or brand to promote another store.
7. Incentivised traffic — forcing or paying visitors to act, including forced clicks, paid-SMS schemes, and traffic bought from paid-to-click or task-reward networks.
8. Any method that pushes a visitor into registering through deception, pressure or anything else that removes their free choice.
9. Cookie stuffing or cookie dropping in any form — scripts that set cookies for sites the user never visited, or that replace, overwrite or substitute a user's cookies, including through pop-ups, iframes or an address inserted as an image on an existing page.
10. Platforms that are still under construction.

What happens if you breach this section. We will write to you and may withhold the commission earned through the breach. For a serious or repeated breach we may suspend or close your partner account, in which case commission earned honestly up to that point is still paid out. You have one month to appeal our decision. Opening a second account after a closure is not allowed.

12. Traffic We Accept

Please bring users through permitted traffic only. If your traffic type is not listed, ask us first — it costs you a message and saves you a blocked account.

13. When Commission Becomes Due

You earn a reward only when all of the following are true:

1. You have not breached sections 6, 10, 11 or 12 of this agreement.
2. A transaction took place between a store and a visitor your promotion sent there.
3. The transaction was registered on SecretDiscounter, approved by the store, and the payment reached Confirmed status.

14. Governing Law and Disputes

1. This agreement is governed by Estonian law.
2. We would rather sort things out directly: open a ticket in your account and we will answer. If that fails, disputes go to the courts of Estonia.
3. If you took part as a consumer rather than in the course of a trade, the mandatory consumer rules of your country of residence still apply, and you may bring proceedings in your own country's courts.
